Effective from 7 September 2026. Version 1.0.

1. About these terms

1.1 These terms govern access to and use of the services provided by Zoopit AS, including the Zoopit platform, its web applications, mobile applications, APIs and related documentation and support (together the “Services”). The Services are provided by:

Zoopit AS
Company registration number 816 928 672
John Strandruds vei 10, 1360 Fornebu, Norway
Email: hei@zoopit.no · Phone: (+47) 21 08 66 70

1.2 “Customer” means the business that creates an account or buys a subscription. “User” means a person the Customer gives access to the Services, such as a driver, a manager or an administrator.

1.3 These terms are accepted when the Customer creates an account, buys a subscription or otherwise starts using the Services. Whoever accepts on the Customer’s behalf confirms that they have authority to bind the business.

1.4 The Services are offered to businesses. The Customer confirms that it enters into this agreement in the course of its business and not as a consumer. Consumer legislation, including statutory rights of withdrawal, therefore does not apply.

1.5 If the Customer has a separate written agreement with Zoopit, that agreement prevails where the two conflict. These terms otherwise apply in full.

2. Accounts, Users and access

2.1 The Customer creates its account and grants access to its Users. The Customer is responsible for all activity under its account and for its Users’ compliance with these terms.

2.2 Credentials, including API keys, are personal to the account and must not be shared. The Customer shall notify Zoopit without undue delay of any suspected unauthorised access or security breach on its side.

2.3 The number of user seats, the roles available and the functionality included follow from the subscription the Customer has chosen.

2.4 Zoopit may suspend an account or individual Users temporarily where necessary for security reasons, on suspicion of misuse, or for non-payment under § 8.6. The Customer will be notified as soon as reasonably practicable.

3. Right to use the Services

3.1 For as long as the subscription is in force and these terms are complied with, Zoopit grants the Customer a non-exclusive, non-transferable, non-sublicensable right to use the Services in its own business.

3.2 The right to use is limited to the Customer’s internal business purposes. It does not include any right to resell, rent out, sublicense or otherwise make the Services available to third parties, or to operate the Services as a service for others.

3.3 Zoopit may set reasonable technical limits on use, including on the number and frequency of API calls, and may restrict access where use exceeds those limits or loads the Services in a way that affects other customers.

4. Acceptable use

4.1 The Customer shall not use the Services:

4.2 Zoopit may monitor use of the Services for the purposes of security, capacity and compliance with these terms.

5. Protection of the Services — no copying, imitation or competing use

5.1 The Services, and the way they are built, are Zoopit’s intellectual property and in part its confidential information. This includes the structure, sequence and organisation of the Services, and in particular:

5.2 The Customer shall not, and shall not permit any third party to, copy, reproduce, imitate, translate, adapt or otherwise derive any part of what is listed in § 5.1, in whole or in part, except as strictly necessary for the Customer’s own permitted use of the Services under § 3. This applies whether or not the result is expressed in the same programming language, format or terminology, and whether the copying is done manually, by automated means or by a machine learning system.

5.3 The Customer shall not use the Services, access to the Services, or any information obtained from them, to design, develop, train, test, market, offer or operate a product or service that competes with the Services or that replicates a material part of their functionality or structure. This includes re-implementing a Zoopit API so that a third-party system can be substituted behind an integration built against it.

5.4 The Customer shall not carry out benchmarking, competitive analysis or performance testing of the Services for the purpose of publication or of development of a competing product, and shall not disclose the results of any such testing to a third party, without Zoopit’s prior written consent.

5.5 The Customer shall not reverse engineer, decompile or disassemble the Services or any part of them, and shall not use automated means to extract, index, harvest or reconstruct the Services, their structure or their documentation, except where and to the extent such a restriction is unenforceable under mandatory law.

5.6 The obligations in this § 5 apply to the Customer, its Users, its group companies and any consultant or contractor acting on its behalf, and the Customer is liable for their breach as if it were its own. A breach of this § 5 is a material breach that entitles Zoopit to suspend access immediately under § 2.4 and to terminate under § 9.3.

5.7 This § 5 does not restrict the Customer from building its own systems that integrate with the Services through the interfaces Zoopit makes available for that purpose, or from developing its own software that does not draw on what is listed in § 5.1. The obligations survive termination of the agreement.

6. Third-party components

6.1 Parts of the Services may include third-party components, including open source software, subject to their own licence terms. Those terms apply in addition to these terms for the components concerned. An overview is available on request.

6.2 Where the Customer connects the Services to a third-party system or service, the Customer is responsible for its use of that third party, and the third party’s own terms govern that relationship. Zoopit is not responsible for third-party services it does not control.

7. Customer Data

7.1 “Customer Data” means all data the Customer and its Users enter into or generate through the Services, including orders, routes, working time and location data.

7.2 Customer Data belongs to the Customer. Zoopit processes it to provide the Services, as set out in § 11.

7.3 Zoopit may aggregate and anonymise Customer Data, and may use aggregated and anonymised information to operate, secure, analyse and improve its products and services, including to train models. Such information may not identify the Customer, the Customer’s Users or the Customer’s own customers. Zoopit is an independent controller for that processing.

7.4 The Customer is responsible for the lawfulness of Customer Data and for having the right to enter it into the Services.

7.5 The Customer may export its data from the Services for as long as the subscription is in force. On termination, § 9.4 applies.

8. Subscriptions, trials and payment

8.1 The Services are sold on subscription. Price, currency, billing interval, number of user seats and the length of any free trial are as stated in the Services or on Zoopit’s pricing page at the time of purchase.

8.2 A free trial gives access to the Services for the period stated. If the trial ends without a subscription being chosen, access is suspended. Data is not deleted immediately — see § 9.4.

8.3 Subscriptions renew automatically for a further period of the same length unless cancelled before the current period ends, as set out in § 9.1.

8.4 Prices may change. Price changes are notified by email or in the Services at least 30 days before they take effect, and apply from the next renewal. A Customer that does not accept a price change may cancel with effect from the same date.

8.5 All prices are exclusive of VAT and any other applicable public charges, which are added.

8.6 Payment is made in advance for each period, through Zoopit’s payment provider. Late payment carries interest at the statutory rate. If an overdue payment remains unpaid 30 days after a reminder, Zoopit may suspend access to the Services until it is settled.

8.7 Subscriptions bought through the App Store or Google Play. Where a subscription is bought through Apple or Google, payment, renewal, cancellation and any refund are handled by that platform under the platform’s own terms. Cancellation must then be done in the platform’s subscription settings — Zoopit can neither cancel nor refund those purchases. These terms continue to govern use of the Services.

9. Term and termination

9.1 The Customer may cancel its subscription at any time with effect from the end of the current billing period. Cancellation is done by notice to hei@zoopit.no, or in the subscription settings where that is available. For subscriptions bought through the App Store or Google Play, § 8.7 applies.

9.2 Zoopit may terminate the agreement on three months’ written notice.

9.3 Either party may terminate with immediate effect on the other party’s material breach that is not remedied within 30 days of written notice.

9.4 On termination, access to the Services ends. The Customer has 30 days from the termination date to export its data, after which Zoopit may delete Customer Data. The Customer is itself responsible for meeting its own statutory retention and documentation obligations — for example for payroll records and driving logs — and for exporting what it needs within that period.

9.5 Prepaid fees are not refunded on cancellation by the Customer, unless mandatory law requires it or Zoopit is in material breach.

10. Customer responsibilities where the Services register working time or location

10.1 The Services can register working time, activity and location for the Customer’s Users. The Customer decides whether and how such functionality is used.

10.2 Registration of employees’ working time and location is a control measure. The Customer is responsible for it being lawful, including for having a valid legal basis, for consulting employee representatives and informing the employees concerned before the measure is introduced, and for assessing on an ongoing basis whether it remains justified and proportionate. In Norway these requirements follow from, among other sources, chapter 9 of the Working Environment Act and data protection law; equivalent requirements apply in other jurisdictions.

10.3 The Customer shall not use data from the Services for purposes other than those its employees have been informed of.

10.4 Zoopit provides a tool and does not give legal advice on the Customer’s use of it.

11. Privacy and data protection

11.1 Where personal data in Customer Data is processed, the Customer is the controller and Zoopit is the processor. Zoopit processes such personal data only to provide the Services and on the Customer’s instructions, subject to § 7.3.

11.2 Zoopit enters into a data processing agreement with the Customer in accordance with article 28 of the GDPR. It governs, among other things, purpose and duration, use of sub-processors, transfers outside the EEA, security measures, notification of personal data breaches and deletion on termination, and is available on request from hei@zoopit.no. The data processing agreement forms part of this agreement.

11.3 For processing where Zoopit is itself the controller — such as its website, marketing, support and the aggregated use described in § 7.3 — Zoopit’s privacy policy applies: zoopit.io/privacy-policy.

12. Intellectual property and feedback

12.1 Zoopit, or its licensors, own all rights in the Services, including software, documentation, design, trade marks and any further development of them. This agreement transfers no rights beyond the right to use in § 3, and is subject to § 5.

12.2 The Customer retains its rights in Customer Data, as set out in § 7.

12.3 Neither party may use the other’s trade marks or other identifiers without written consent, except as set out in § 18.

12.4 If the Customer or a User gives Zoopit suggestions, requests or other feedback about the Services, Zoopit may use it freely in its product development, without payment and without further obligation to the Customer. This gives Zoopit no rights in Customer Data beyond § 7.

13. Availability, support and changes to the Services

13.1 Zoopit will make reasonable efforts to keep the Services available, but does not guarantee uninterrupted operation. A service level agreement applies only where separately agreed in writing.

13.2 Planned maintenance is placed outside normal working hours as far as practicable, and is notified in advance where it is expected to affect use. Critical maintenance may be carried out without prior notice.

13.3 Support is provided at hei@zoopit.no on weekdays between 08:00 and 16:00 CET.

13.4 Zoopit develops the Services continuously and may add, change or remove functionality. Where material functionality the Customer uses is removed or materially reduced, the Customer will be given reasonable notice before the change takes effect.

14. Confidentiality

14.1 Each party shall keep confidential information received under this agreement confidential, and shall not use it for purposes other than performing the agreement. The obligation applies for five years after the agreement ends.

14.2 Confidential information may be shared with employees, sub-processors and advisers who need it and who are bound by equivalent obligations.

14.3 The obligation does not apply to information that is publicly available without breach of this agreement, that is lawfully received from a third party, that is independently developed, or that must be disclosed under law or an order from a public authority.

15. Liability

15.1 Zoopit’s total liability under this agreement is limited to direct loss, capped at the amount the Customer has paid for the Services in the twelve months before the claim arose.

15.2 Neither party is liable for indirect or consequential loss, including lost profit, lost savings, loss of data, or loss of goodwill or reputation.

15.3 The limitations in 15.1 and 15.2 do not apply in cases of gross negligence or wilful misconduct.

15.4 The Customer shall indemnify Zoopit against third-party claims arising from the Customer’s use of the Services in breach of this agreement or of applicable law, including claims relating to Customer Data, to control measures under § 10, or to a breach of § 5.

16. Force majeure

16.1 Neither party is liable for failure to perform caused by circumstances outside its reasonable control, such as natural events, acts of government, labour disputes, failure at a communications provider or cyber attack. If the circumstance lasts more than 60 days, either party may terminate the agreement with immediate effect.

17. Changes to these terms

17.1 Zoopit may change these terms. Material changes are notified by email or in the Services at least 30 days before they take effect.

17.2 Continued use of the Services after a change takes effect constitutes acceptance. A Customer that does not accept a change may cancel its subscription with effect from the date the change takes effect.

18. Reference use

18.1 Zoopit may state that the Customer uses the Services, and may use the Customer’s name and logo in customer overviews and similar material. The Customer may opt out at any time by notice to hei@zoopit.no. Any other use requires written consent.

19. Assignment and sub-processors

19.1 The Customer may not assign this agreement without Zoopit’s written consent. Zoopit may assign it as part of a merger, acquisition or other transfer of business, and may use sub-processors and subcontractors to provide the Services.

20. Governing law and venue

20.1 This agreement is governed by Norwegian law.

20.2 The parties shall seek to resolve disputes amicably. Failing that, disputes shall be settled by Oslo District Court as the agreed venue.
